• Anyone authorized by a business entity can prepare or file documents to dissolve and terminate (domestic) or withdraw (foreign) that business registration in the state of Tennessee.
• It is a crime punishable by law to knowingly change business details that you do not have authority to change.

What You Can Do Here

• File documents to dissolve and terminate (domestic) or withdraw (foreign) a business registration and pay the fee online. The filing fee varies depending on the business type and its current registration status. An online service fee may be added to the filing fee.
• Print and Mail documents to dissolve and terminate (domestic) or withdraw (foreign) a business registration. Information will be collected through the online tool, and then printed on the correct form to be mailed to the Secretary of State with payment. This option assists with the preparation of the documents, but does not require online payment and is not charged a service fee.
  
  Please Note: any business that is originally formed in Tennessee (domestic), must first be dissolved and then terminated in order to cease the business entity's registration. Until Articles of Termination are filed, domestic entities shall still be required to file annual reports and pay taxes to the Department of Revenue, as applicable.
• Pursuant to T.C.A. §47-29-102 a handling charge of $30.00 or the written amount of the item, whichever is less, will be charged on returned paper checks and electronic checks.

• Validate that the correct entity has been identified.
• Enter additional details as required based on the business entity type and its current registration status.
• Certify that you are authorized to make this change to the business entity registration.
